This large customer base expects not only commercial responsibility but also ethical responsibility from us.<\/p><p>Katmerciler has earned the trust of society without compromising its values and meticulous approach. Our goal is to further instill in our employees the sensitivity shown to customer satisfaction, quality, occupational health and safety, social responsibilities, supplier relations, legal compliance, and similar matters, and to effectively disseminate this understanding. It determines the main principles and ethical principles of the ethical system.<\/li><li>It is the authority to be contacted in case of Ethics Violation notifications, to conduct the necessary research to resolve the violation issue, and, when necessary, to meet with the person who reported the Ethics Violation and to finalize and resolve the ethical violation notification.<\/li><li>Board members are determined by Chairman of Board.<\/li><li>The Internal Audit Unit carries out the secretariat of the Board.<\/li><\/ul><p><strong><u>Company HR Manager:<\/u><\/strong><\/p><ul><li>He\/she is the one who directs the employee to the Ethics Committee in case of any ethical violation notification that comes to him\/her.<\/li><li>It is the authority that supports the employee regarding the operation of the procedure.<\/li><\/ul><p><strong>7.4 Ethics Violation Notification and Process<\/strong><\/p><p>It\u2019s an employee\u2019s expression of concerns about ethical violations, suspicions of corruption, concerns about the job and\/or work environment, objections to decisions, and situations where they\u2019ve been treated unfairly. A report can stem from any thought, action, negligence, behavior, or situation the employee deems unfair.<\/p><p>Any employee who has encountered a situation subject to notification or has been subject to an ethical violation may submit an Ethics Violation Report.<\/p><p>An Ethics Violation Notification may be directed at the parties to the action that gave rise to the notification; management, the manager personally, another employee or a group of employees.<\/p><p>When an Ethics Violation is encountered, the \u201821-FR-01-0013 Ethics Violation Notification Form\u2019 must be filled out and sent to \u2018 <strong><u>etik.bildirim@katmerciler.com.tr <\/u><\/strong>\u2018 or delivered by hand in a sealed envelope to the HR Manager or the Ethics Committee Secretariat.<\/p><p>The Ethics Committee reviews reports of ethical violations. Your report will be treated confidentially by the Ethics Committee, and the person making the report will be contacted if necessary. Our employees are required to act with openness and honesty in all their professional relationships.<\/li><li>Katmerciler employees must fulfill their obligations under all circumstances, in accordance with the law and ethical rules, and contribute to the clarification of any questionable issue, including violations of laws, regulations, company principles, and ethical rules.<\/li><\/ul><p><strong><u>7.7 Business Relations, Impartiality and Equal Opportunity<\/u><\/strong><\/p><p>Katmerciler employees must be friendly and polite in all business dealings and must be careful not to offend people under any circumstances.<\/p><ul><li>Katmerciler employees must demonstrate respect in their relationships with other employees, customers, suppliers, partners, shareholders and the community, and treat all individuals with whom they interact with with human dignity.<\/li><li>Katmerciler employees should see warnings and suggestions as opportunities to improve themselves.<\/li><li>Katmerciler employees are respectful of and committed to all laws, statutes and regulations of the Republic of T\u00fcrkiye.<\/li><li>Katmerciler employees avoid any relationship, influence or activity that would prevent or create the appearance of impartial and fair decisions while doing business.<\/li><li>Katmerciler employees cannot actively participate in political, commercial or religious groups\/associations using the company&#8217;s name, and cannot participate in meetings\/rallies\/marchs, etc.<\/li><li>Katmerciler employees adhere to company ethical values within the scope of the fight against corruption, do not gain unfair advantage or resort to unethical means.<\/li><\/ul><p><strong><u>7.8 Relationships with Suppliers and Competitors<\/u><\/strong><\/p><ul><li>Katmerciler employees must comply with the provisions of Law No. 4054 on the Protection of Competition and the circular issued based on it.<\/li><li>Katmerciler employees may never resort to unethical means to access information about other companies. However, there is no harm in using publicly available company information (websites, price lists, advertisements, published articles, etc.).<strong>\u00a0<\/strong><\/li><\/ul><ul><li>Katmerciler employees cannot engage in any action or transaction that would lead to bribery or corruption in their commercial activities and business relationships.<\/li><li>Katmerciler employees are obliged to notify Katmerciler within 1 month of any first-degree relative who starts working in a critical position in a rival company.<\/li><\/ul><p><strong><u>7.9 Conflict of Interest<\/u><\/strong><\/p><p>Katmerciler employees may not derive personal benefit from company operations. They may not use company property, strategic\/confidential information (financial, etc.), or opportunities gained through their position within the company for their personal gain.<\/p><ul><li>Katmerciler employees cannot compete with the group and its affiliated companies as long as they are employed by Katmerciler.<\/li><li>Katmerciler employees cannot engage in individual commercial activities within the relevant sector. Part-time employees and\/or those in consultant status may continue their commercial activities with approval from their management.<\/li><li>Katmerciler employees are responsible for maintaining the customer database throughout their employment at Katmerciler. Employees may not use the customer database for personal gain. They may not share this information with third parties or companies.<\/li><li>Katmerciler employees cannot engage in other work-related activities during working hours.<\/li><\/ul><p><strong><u>7.10 Customer Satisfaction<\/u><\/strong><\/p><p>Customer-focused operations are a key part of Katmerciler&#8217;s culture. Katmerciler employees are expected to prioritize customer satisfaction in all their operations.<\/p><p><strong><u>7.11 Product and Service Quality<\/u><\/strong><\/p><ul><li>All employees must be effective in their workplace activities by fully complying with legal regulations.<\/li><li>Katmerciler employees must adhere to their company&#8217;s quality standards in their workplace activities. They must avoid any activities that could undermine quality standards and ensure that action is taken regarding any issues they identify.<\/li><li>Katmerciler employees are obligated to protect products and services from any method other than the established procedures and from conditions that may cause loss of rights or damage to the customer.<\/li><li>Katmerciler employees are obliged to comply with all hygiene and occupational safety rules established for the work environment and to report any risks they detect regarding the workplace and work vehicles to the relevant authorities.<\/li><\/ul><p><strong><u>7.12 Employee Rights &amp; Work Safety<\/u><\/strong><\/p><ul><li>Katmerciler offers its employees a productive and happy work environment where values such as honesty, consistency, respect, trust, and responsibility prevail; where there is no humiliation, no reprimands, no fear of punishment, and where every employee can express and develop themselves. Katmerciler employees are responsible for maintaining a peaceful work environment and meeting their assigned performance goals.<\/li><li>Implements all necessary equipment and procedures to ensure occupational health and safety. Katmerciler employees are responsible for adhering to these procedures and using the necessary equipment for its intended purpose.<\/li><\/ul><p><strong><u>7.13 Protection of Shareholder Interests<\/u><\/strong><\/p><p>Katmerciler employees are responsible for carrying out their duties in a way that contributes to the company&#8217;s value, in accordance with the law and corporate ethics, in order to protect the company&#8217;s reputation and value.<\/p><p><strong><u>7.14 Discrimination and Harassment<\/u><\/strong><\/p><ul><li>It is absolutely unacceptable for Katmerciler employees to harass or disturb anyone (colleague, customer, supplier, etc.) in sexual, social or physical ways.<\/li><li>It is absolutely unacceptable for Katmerciler employees to cause any person (colleague, customer, supplier, etc.) any discomfort through discrimination, exclusion, intimidation, or psychological harassment.<\/li><li>Katmerciler employees respect everyone&#8217;s personal privacy, and they do not, and do not themselves, adopt a stance that would give rise to rumors about competitors, either within or outside the company.<\/li><li>Katmerciler maintains an equal distance from all individuals and organizations, regardless of language, religion, race, color, gender, or culture. They are responsible for ensuring that transactions with external organizations and individuals are recorded accurately and in a timely manner, in accordance with all applicable laws (laws, statutes, regulations, etc.), and to avoid placing their companies in a difficult position.<\/li><li>Katmerciler employees involved in bids, tender preparations or contract negotiations are responsible for the accuracy and truthfulness of all statements, correspondence and representations they make to prospective suppliers.<\/li><li>Katmerciler employees are responsible for ensuring that all information they enter into all databases operated by the company is accurate and reflects the truth.<\/li><\/ul><p><strong><u>7.16 Information Security<\/u><\/strong><\/p><ul><li>Katmerciler employees are responsible for protecting Katmerciler&#8217;s intellectual property rights, such as patents, trade secrets, copyrights, names and brands, due to the nature of their work, and are also responsible for respecting the intellectual property rights of their competitors.<\/li><li>Katmerciler employees are responsible for protecting\/confiding information (commercial, personal, etc.) of suppliers and customers.<\/li><li>Katmerciler employees protect and keep confidential the private documents of the company\/suppliers\/customers, competitors and employees, and cannot disclose this information to outsiders if they provide private information regarding their own work .<\/li><li>Katmerciler employees are responsible for maintaining the confidentiality of the specific technologies, processes, and Katmerciler&#8217;s procedures, forms, and method information.<\/li><\/ul><p><strong><u>7.17 Informing Public Institutions and Society<\/u><\/strong><\/p><ul><li>Katmerciler employees cannot disclose company information to anyone without authorization.<\/li><li>Katmerciler employees cannot make statements, commitments, promises or attempts to bind the company by exceeding the authority given to them and cannot make false statements.<\/li><li>Katmerciler employees are responsible for ensuring that the notifications required to be made on behalf of their company are accurate, clear and timely.<\/li><\/ul><p><strong><u>7.18 Obeying the Law<\/u><\/strong><\/p><ul><li>Katmerciler does not engage in activities such as tax evasion, corruption, bribery, or misleading the government in financial reports. Katmerciler employees are strictly prohibited from engaging in such activities on behalf of the company, and detection of such activities will result in immediate termination of their employment contract.<\/li><li>Katmerciler employees respect the country&#8217;s legal rules, legislative provisions, and social values, and work with a sense of social responsibility.<\/li><li>Katmerciler employees act in accordance with all relevant legislation (laws, statutes, regulations, etc.) when purchasing goods and services from suppliers.<\/li><li>It is unacceptable for Katmerciler employees to commit disgraceful crimes such as theft, fraud, swindling, perjury, slander, bribery and embezzlement, and conviction for such crimes will result in immediate termination of the employees&#8217; employment contracts.<\/li><\/ul><p><strong><u>7.19 Accepting and Giving Gifts<\/u><\/strong><\/p><ul><li>Katmerciler employees cannot give or accept money or cash gifts other than through the internal reward system.<\/li><li>The gifts that Katmerciler employees can accept on behalf of the company are gifts of reasonable financial value.<\/li><li>Gifts that reach the company without the employee&#8217;s knowledge are reported to the relevant authority with the knowledge of the General Manager of the company and a report , and are distributed to employees upon the decision of the relevant General Manager.<strong>\u00a0<\/strong><\/li><\/ul><ul><li>The relevant ethical principle is subject to internal control and auditing under the anti-corruption article.<\/li><\/ul><p><strong><u>7.20 Fighting Corruption<\/u><\/strong><\/p><ul><li>Katmerciler Employees adhere to the Company&#8217;s ethical values within the scope of combating bribery and corruption.<\/li><li>Katmerciler Employees are careful not to gain unfair advantage or unethical means in their relationships within the company and with third parties.<\/li><li>Katmerciler Employees do not engage in any action or process that would lead to bribery or corruption in their commercial activities and business relationships.<\/li><li>Katmerciler employees are regularly provided with training in the fight against corruption.<\/li><li>by departments to combat corruption . If company employees engage in any action or transaction that could lead to bribery or corruption, the Katmerciler Disciplinary Regulations will be applied.<\/li><\/ul><p><strong><u>7.21 Protection of Company Property<\/u><\/strong><\/p><ul><li>Katmerciler employees are committed to using all assets (property, communication systems, information sources, facilities, and equipment) of the company\/customers\/suppliers to the extent authorized and without causing harm. Efficient and frugal use of company resources, coupled with a cost-effective approach, is essential in the use of company resources.<\/li><li>Katmerciler employees are responsible for using their assigned company vehicle, computer, internet access, corporate email address, and company line (GSM line, internal desk phone) for their intended purpose. Care must be taken to ensure that the company vehicle and equipment assigned to them are company property. It should be noted that the company reserves the right to seize or inspect all documents, conversations, and correspondence if necessary.<\/li><\/ul><p><strong><u>7.22 Environment<\/u><\/strong><\/p><ul><li>Katmerciler employees are obliged to act in accordance with Katmerciler&#8217;s sensitivities regarding the environment, nature and clean energy in all their work activities .<\/li><\/ul><ul><li>Katmerciler employees use natural and energy resources efficiently and prevent waste.<\/li><li>Katmerciler employees research recycling and reuse opportunities and benefit from these gains in their businesses.<\/li><\/ul><p><strong>\u00a0<\/strong><strong><u>7.23 Substance Use<\/u><\/strong><\/p><ul><li>Katmerciler employees cannot use alcohol or drugs at work and\/or in a way that affects their job performance.<\/li><li>Katmerciler employees are not allowed to smoke except in designated private areas to protect occupational health and safety.<\/li><\/ul><p><strong>\u00a0<\/strong><strong><u>7.24 Export Control and Economic Sanctions<\/u><\/strong><\/p><p>The rules to be observed by Katmerciler A.S. in order to comply with economic sanctions and export control obligations have been determined. Where relevant and applicable to Katmerciler A.S.&#8217;s commercial activities, full compliance with economic sanctions and export control obligations (&#8220;Sanctions&#8221;) imposed by the Republic of Turkey and the United Nations (&#8220;UN&#8221;) is a fundamental principle of Katmerciler. All employees and managers of Katmerciler are obliged to act in accordance with this procedure, which is an integral part of the Working Principles and Code of Ethics.
